These Terms of Service ("Terms") govern your use of the Fictus Labs website and your engagement with our AI-powered video production and creative services. By accessing our website or entering into a service agreement with us, you agree to be bound by these Terms.
1. Services
Fictus Labs provides AI-powered video production, creative strategy, scriptwriting, post-production, motion graphics, and related services for software and SaaS companies ("Services"). The specific scope, deliverables, timeline, and fees for each project are defined in a separate Statement of Work or Service Agreement agreed upon by both parties.
2. Client Responsibilities
To enable us to deliver Services effectively, you agree to:
- Provide accurate and complete project briefs, brand materials, and feedback in a timely manner
- Designate an authorised representative to approve creative concepts and deliverables
- Ensure that any materials, assets, or content you provide to us do not infringe any third-party intellectual property rights
- Make payments as agreed in the applicable Service Agreement
3. Payment Terms
All fees are quoted in the applicable Service Agreement. Unless otherwise agreed:
- A deposit (typically 50%) is due upon project commencement
- The remaining balance is due upon delivery of final assets
- Invoices are payable within 14 days of issuance
- Late payments may incur interest at 1.5% per month on the outstanding balance
We reserve the right to suspend Services for accounts with overdue balances.
4. Intellectual Property
Upon receipt of full payment, Fictus Labs assigns to you all ownership rights in the final deliverables specifically created for your project, except as noted below. We retain:
- Ownership of all pre-existing tools, templates, methodologies, and proprietary processes
- The right to display final deliverables in our portfolio and marketing materials, unless you request confidentiality in writing
- Rights to any third-party licensed assets (stock footage, music, fonts) incorporated in deliverables — these are subject to the applicable third-party licence terms
You represent and warrant that all materials you provide to us are owned by you or properly licensed for use in the project.
5. Revisions and Approval
Each Service Agreement specifies the number of included revision rounds. Revisions requested beyond the agreed limit will be scoped and quoted separately. Final approval of deliverables constitutes your acceptance that the work meets the agreed brief. No further revisions will be made after final approval without a new agreement.
6. Confidentiality
Both parties agree to keep confidential any non-public information exchanged in connection with the project. We will not disclose your confidential business information to third parties without your written consent, except as required by law or to subcontractors bound by equivalent confidentiality obligations.
7. Limitation of Liability
To the fullest extent permitted by law, Fictus Labs' total liability to you for any claim arising out of or in connection with our Services shall not exceed the total fees paid by you for the specific project giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
8. Warranties and Disclaimers
We warrant that our Services will be performed with reasonable skill and care. We do not warrant that AI-generated content will be free from errors or that performance outcomes (such as ad conversion rates) will meet specific targets. Results depend on many factors outside our control.
9. Termination
Either party may terminate a project with 14 days written notice. Upon termination, you will be invoiced for all work completed to the date of termination, and any associated costs already incurred. Deposits are non-refundable unless termination is due to our material breach.
10. Governing Law
These Terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or the courts of competent jurisdiction.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or Services after changes are posted constitutes your acceptance of the revised Terms.
